Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and Z Pixel Labs, LLC, a Delaware limited liability company operating the Hero & Ink brand ("Company," "we," "us," or "our"), located at 2810 N Church St STE 88974, Wilmington, DE 19802. By accessing or using our website at heroandink.com (the "Site") or purchasing any product or service from us (the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase the Services.

2. Eligibility

You must be at least 18 years old, or have the consent of a parent or legal guardian, to place an order. By placing an order you represent that all information you provide is accurate, that you own or have permission to use any photos you upload, and that the content you submit does not infringe any third party's rights.

3. Our services

We design, generate, and deliver custom 26-page comic books ("Comics") personalized to each Customer's order inputs (recipient details, photos, story preferences). Comics are delivered as digital PDF files. When printed editions launch, they will be fulfilled by third-party print-on-demand partners. Generated content is produced using AI tools combined with our proprietary creative and rendering pipeline.

Each Comic is a one-of-one custom creative work made for the Customer who orders it. We retain a non-exclusive right to use non-identifying renderings (e.g., anonymized cover art with the recipient's likeness removed or generalized) for portfolio and marketing purposes; we will not publish Comics that include identifiable personal photos without your prior consent.

4. Orders, pricing, and payment

Pricing is shown on the order page. We may change pricing at any time; the price applicable to your order is the price shown at the time you submit it. Orders are charged via our payment processor at the time of submission and are confirmed by email.

All sales are subject to our Refund Policy.

5. Delivery

Digital Comics are delivered within 24 hours of order confirmation - typically the same day. If we fail to deliver your Digital Comic within 24 hours, contact us and we will make it right, up to and including a full refund. When printed editions become available, estimated production and shipping times will be shown before checkout; printed-edition timelines depend on print and shipping partners, and we are not liable for delays caused by shipping carriers, customs authorities, or events outside our reasonable control.

6. Intellectual property

Our content. The Site, our software, our pipeline, the Hero & Ink brand, and all related logos, text, layouts, and marketing materials are owned by Z Pixel Labs, LLC and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you a license to use our marks or software except as expressly described.

Your content. You retain ownership of photos and other materials you upload to place an order ("Your Content"). By submitting Your Content you grant us a non-exclusive, worldwide, royalty-free license to use, copy, modify, and process it solely for the purpose of producing and delivering your Comic and operating our Services.

The Comic. Once you receive your Comic, we grant you a non-exclusive license to use it for personal, non-commercial purposes - print it, share it with the recipient, post excerpts on personal social media, give it as a gift. You may not resell, sublicense, or commercially distribute the Comic. We retain ownership of the underlying creative and technical work.

7. Prohibited use

You agree not to:

• Upload photos of people without their consent (or, for minors, without parental/guardian consent).
• Submit content that is defamatory, hateful, sexually explicit, violent against real individuals, or otherwise unlawful.
• Attempt to impersonate another person or misrepresent your identity.
• Use our Services to generate content depicting public figures or copyrighted characters without authorization.
• Reverse engineer, scrape, or attempt to extract our pipeline or models.
• Place orders intended for resale.

We reserve the right to refuse or cancel any order in our sole discretion. If we cancel an order before delivery for content concerns, we will refund the full purchase price.

8. AI-generated content disclosure

Comics are produced using generative AI tools as part of our creative pipeline. AI output is non-deterministic: the same order inputs can produce different results on different runs. We commit to a quality standard for delivered Comics but do not guarantee exact panel-by-panel reproduction of any particular draft or preview.

9. Disclaimers

THE SERVICES AND COMICS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL Z PIXEL LABS, LLC OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

11. Indemnification

You will indemnify and hold harmless Z Pixel Labs, LLC, its affiliates, and its and their officers, employees, and agents from any claim, demand, or damages (including reasonable attorneys' fees) arising from (a) Your Content, (b) your violation of these Terms, or (c) your violation of any third-party rights.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on the Site with a revised effective date. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
